The transaction sees publicly-traded Cervus transition to 100% private ownership in an all-cash deal.</p>
<p>The landmark transaction creates Canada’s largest-ever equipment dealer network, adding 64 agriculture, transportation, and material handling equipment locations to Brandt’s existing John Deere Construction &amp; Forestry dealerships across Canada. When fully integrated, it will give Cervus’ customers access to Brandt’s extensive national parts and technical support infrastructure.</p>
<p>The purchase further establishes the firm’s position as a premier privately held Canadian company and the largest John Deere dealership in the world.</p>

<p>The deal gives Brandt unparalleled market penetration, expanding their geographical footprint and enabling the company to add, in select markets, John Deere agricultural equipment; Peterbilt transportation equipment; and Clark, Sellick, JLG, Baumann and other material handling equipment in addition to their already-impressive list of products and services.</p>
<p>With the acquisition of the Cervus locations in Canada, Australia and New Zealand, Brandt now owns and operates 120 full-service equipment dealerships with an additional 50+ service points and employs over 5100 people.</p>

<p>The transaction will make a significant impact across the industry as the company rolls out plans to introduce expanded parts inventories, service department capacities, and extended hours of operation at the former Cervus dealerships. As operations are integrated, staffing in these locations is expected to increase by up to 40% with significant new facility construction across the entire network.</p>

										<content:encoded><![CDATA[<p><strong>Cervus Equipment Corporation</strong> announces that the <strong>Toronto Stock Exchange</strong> (&#8220;<strong>TSX</strong>&#8220;) has accepted Cervus’ Notice of Intention to <strong>Make a Normal Course Issuer Bid</strong> (the &#8220;Bid&#8221;) to purchase for cancellation, from time to time, as Cervus considers advisable, its issued and outstanding common shares (the &#8220;Shares&#8221;).</p>
<p>There were 15,370,048 Shares issued and outstanding as of September 3, 2020. Of this amount, 10,495,926 Shares constitute the “public float”, calculated in accordance with the rules of the TSX. Pursuant to the Bid, Cervus is able to purchase for cancellation up to a maximum of 1,049,592 Shares, being equal to 10% of Cervus’ “public float” outstanding on September 3, 2020.  Pursuant to the rules of the TSX, Cervus may not purchase more than 4,465 Shares in any one day, such amount being equal to 25% of the average daily trading volume of the Shares for the six months ended August 31, 2020. Notwithstanding the foregoing, pursuant to the rules of the TSX, Cervus may make one block purchase per calendar week that exceeds the daily repurchase restriction, subject to the maximum annual aggregate limit. Once the block purchase exception has been relied on, Cervus may not make any further purchases under the Bid for the remainder of that calendar day.</p>
<p><span style="background-color: #008000;">Purchases under the Bid will be made on the open market only through the facilities of the TSX and other Canadian marketplaces. Cervus has appointed Raymond James Ltd. as its broker, who will conduct the Bid on behalf of Cervus</span>. The price that Cervus will pay for any Shares it purchases will be the prevailing market price of the Shares on the TSX at the time of such purchase. The actual number of Shares that may be purchased under the Bid for cancellation and the timing of any such purchases will be determined by Cervus.</p>
<p>In connection with the Bid, Cervus will enter into an automatic purchase plan (&#8220;Plan&#8221;) with its designated broker to allow for purchases of its Shares by the broker from time to time during the Bid including during internal blackout periods. Such purchases would be at the discretion of the broker based on parameters established by Cervus prior to any blackout period. Outside of these periods, Shares may be repurchased in accordance with management&#8217;s discretion, subject to applicable law and the rules of the TSX. The Plan may be terminated by Cervus or its broker in accordance with its terms or will terminate on the expiry of the Bid.</p>
<p>The Bid will commence on September 21, 2020, and will terminate on September 20, 2021, or such earlier time as the Bid is completed or terminated at the option of Cervus.</p>
<p>During Cervus’ last Normal Course Issuer Bid, which commenced on September 16, 2019, and terminated on September 15, 2020, Cervus repurchased 289,592 Shares at a weighted average price of $7.35 per share.</p>
<p>The Bid will provide Cervus with additional flexibility to manage capital and generate value for shareholders.</p>

<p>I have been in trucking industry since I was 20 years old. I started my career as a Delivery Driver at Team Truck Centre before moving to Wilride Transport as a Parts purchasing manager. Following this I worked at Premier Truck Group Freightliner for 16 years. Starting in shipping and receiving, I worked my way up to front counter and call centre before working as an Outside Parts Sales Rep for 7 years. I supported many large fleet customers such as Penske and Bison.</p>
<p><strong>What was your role and responsibilities when you first joined Cervus?</strong></p>
<p>In 2016, I started as a parts technician at the front counter at Cervus Equipment Peterbilt. My primary role is selling truck parts. I assist customers by identifying the right parts, availability and help them make more informed decisions to prevent any issues in the future.</p>
<p><strong>What is your current role and responsibilities at Cervus?</strong></p>
<p>In addition to my responsibilities as a parts technician, I support inventory management, shipping, leasing, rentals parts support and returns management.</p>
<p><strong>How long have you worked at Cervus?</strong></p>
<p>I have been at Cervus Equipment for 3.5 years.</p>

<p><strong>Describe your experience at Cervus.</strong></p>
<p>It has been fantastic. I love the people I work with and I have learned so many new things about Peterbilt models and engines. I feel supported by Cervus and its management. They have provided me with stability, security and have been flexible to my needs. My coworkers have mentored and helped me be more confident in my role to do the job to the best of my ability.</p>
<p><strong>How does your role help customers? </strong></p>
<p>I help reduce downtime by getting my customers their parts as soon as possible so they can get back on the road quickly, in some instances I’ve delivered parts to a customer on my way home. I have also learned some of the common phrases in my customers native language to help make the transactions smoother.<br />

<p><span style="background-color: #008000;">One of the newer features in agricultural technology is wireless data transfer and remote connectivity. The new <strong>John Deere Connected Support</strong> permits farmers to connect equipment to a computer, tablet or phone, monitor and transfer valuable data</span>. This also provides the ability to connect equipment to a local <strong>Cervus Equipment dealership</strong> to monitor machine alerts, diagnose problems remotely and perform software updates.</p>
<p>This wireless connection saves time and keeps machines in the field when it matters, by allowing rapid, wireless data transfers. Automatic alerts indicate issues in advance so repairs may be planned or completed, often before a breakdown occurs.</p>
