										<content:encoded><![CDATA[<p><strong>Raven Industries </strong>announced that, at a special meeting held on September 15, 2021, its shareholders voted strongly to approve the pending transaction with CNH Industrial N.V.</p>
<p>More than 71% of the outstanding shares of Raven voted, and of the shares that voted, over 99% voted in favor of the transaction with CNH Industrial.</p>
<p><strong>Dan Rykhus, Raven President &amp; Chief Executive Officer</strong>, said,</p>
<blockquote><p>“We thank our shareholders for their strong support of this transaction. We look forward to working with the CNH Industrial team to close the transaction.”</p></blockquote>
<p>The transaction is expected to close in the fourth quarter of 2021, subject to approval from the Committee on Foreign Investment in the United States (CFIUS) and acceptance by the Defense Counterintelligence and Security Agency (DCSA) of a signed commitment letter.</p>
<p>The final voting results will be reported in a Current Report on Form 8-K to be filed with the Securities and Exchange Commission, after certification by Raven’s inspector of elections.</p>
<p>J.P. Morgan Securities LLC acted as financial advisor to Raven and Davis Polk &amp; Wardwell LLP as its legal advisor.</p>

<p class="v1MsoNormal">Prior to joining Aceinna, Mr. Appelman was VP and GM of the depth-sensing division of ON Semiconductor where he led the team responsible for the adoption of low light sensors in LiDAR and successfully secured early customers designs in automotive, medical, and industrial markets for the divisions sensing product portfolio.</p>
<p class="v1MsoNormal"><span style="background-color: #00ff00;">He joined ON Semiconductor in May 2018 through the acquisition of SensL Technologies, where he was VP of worldwide sales and marketing responsible for the company&#8217;s business strategy since 2012. </span></p>

<p class="v1MsoNormal">Wade has extensive experience in both private and public sector organizations having served in senior leadership roles driving sales and marketing efforts for five venture-backed startups with total exit valuations of $900 million. Select highlights include the network processor pioneer, Sitera (acquired by Vitesse), Zagros (acquired by Altera), and Lightstorm Networks (acquired by Broadcom).</p>
<p class="v1MsoNormal">Mr. Appelman has also served in a leadership role in three publicly traded corporations. In addition to ON Semiconductor, he led product marketing for Cabletron&#8217;s $1B switches and routing division, and Vitesse Semiconductor&#8217;s product marketing and product management for the 500-employee Advanced Networking Products Division. He has a B.S. from Wagner College in New York, NY.</p>

<p>Kleiner’s region includes the following states: Connecticut, Delaware, Maine, Maryland, Massachusetts, New Hampshire, New Jersey, New York, Pennsylvania, Rhode Island, Vermont, and West Virginia. In Canada, Kleiner oversees the following provinces: New Brunswick, Newfoundland and Labrador, Nova Scotia, Ontario, Prince Edward Island and Quebec.</p>

<p><strong>says Kleiner,</strong></p>

<p>Kleiner has been with JLG for eight years, starting off his career in the company’s sales trainee program, which included completing experienced-based training in the Sales, Marketing, Aftermarket Support &amp; Service, Manufacturing, Parts Distribution, Transportation &amp; Logistics, Purchasing, Warranty, Credit and Finance departments.</p>
<p>Prior to taking on this new role, Kleiner was a District Sales Manager in the Western Region, serving customers in Northern California and Nevada, and in the Midwest Region, servicing customers in Indiana and Illinois. Kleiner has a BS in Business Administration and an MBA from Bloomsburg University of Pennsylvania.</p>
